These Terms of Service (“Terms”) are a legal agreement between you (“Host,” “User,” or “You”) and [Your Company Name] (“Company,” “We,” “Us,” or “Our”) governing your use of the ShopSTR (“App”) for Shopify. By using the App, you agree to these Terms. If you do not agree with these Terms, please do not use the App.

Acceptance of Terms

By using the App, you acknowledge and agree to be bound by these Terms. We reserve the right to modify or update these Terms at any time, and it is your responsibility to review them periodically. Your continued use of the App after any changes constitutes acceptance of the modified Terms.

Description of the App

ShopSTR is a Shopify app designed to provide booking management tools to Hosts, helping them manage reservations, bookings, and related information. The App does not process payments or take any responsibility for guest damages, disputes, or issues arising between Hosts and Guests.

Host Responsibilities

As a Host using our App, you are responsible for ensuring the accuracy of your listings, responding to Guest inquiries, and providing accurate information about your bookings and accommodations.

Vendors are required to fulfill all orders and deliver all tickets or booking confirmations as advertised and within the reasonable timeframes. Timeframes are expected to be listed for all listings as a responsibility of the host. Any failure to fulfill confirmed bookings, provide necessary access, or communicate with guests in a timely and professional manner may be deemed a violation of these Terms.

Repeated complaints or unresolved disputes—particularly those related to non-fulfillment, lack of communication, or failure to deliver services—may result in warnings, suspension of booking tools, or permanent removal from the platform at our sole discretion.

Payments and Financial Responsibility

The App does not process payments between Hosts and Guests. Any financial transactions, including bookings, payments, or refunds, are solely the responsibility of the Host and Guest. The Company is not liable for any disputes, financial losses, or issues related to payments. Commissions and bookings are charged directly via payment processor with commissions payable through the operating platform. Commissions are charged for completed, non-completed and cancelled bookings. The Company reserves the right to alter and adjust commission rates as well as any subscription costs at any time without notice.

Liability and Guest Damages

The Company is not liable for any damages, losses, injuries, disputes, or issues that may arise between Hosts and Guests. Hosts are encouraged to have their insurance and security measures in place to address potential issues or damages caused by Guests.

Intellectual Property

All intellectual property rights, including but not limited to trademarks, copyrights, and patents associated with the App, remain the property of the Company. You may not use, copy, or reproduce any part of the App without our explicit permission.

Platform Integrity & Fair Use

ShopSTR is committed to maintaining a fair and transparent booking environment for both hosts and guests. To ensure the integrity of our platform, all bookings must be made and processed through ShopSTR in accordance with our policies.

Utilization of Technology

When using ShopSTR, all booking-related transactions must be processed exclusively through the ShopSTR platform. Hosts are not permitted to replace, alter, or disable ShopSTR’s booking widget in favor of third-party booking tools, widgets, or external checkout systems. This ensures a consistent user experience, maintains platform integrity, and upholds compliance with our policies.

If a host is found to be using unauthorized third-party booking solutions in place of ShopSTR, we reserve the right to take corrective action, which may include but is not limited to:

  • Issuing a formal warning and requiring immediate reinstatement of ShopSTR’s booking widget.

  • Temporary suspension of the host’s account until compliance is restored.

  • Permanent removal from the ShopSTR platform for repeat violations.

Exceptions to this policy may only be granted through written approval from ShopSTR. If you have concerns or specific needs regarding your booking setup, please contact our support team for assistance.

Prohibited Practices

The following actions are strictly prohibited and may result in account flagging, suspension, or permanent removal from the platform:

  • Circumventing Booking Fees: Any attempt to invite guests, facilitate bookings, or otherwise conduct transactions outside of ShopSTR to avoid booking commissions is strictly forbidden.

  • $0 Bookings: Creating or accepting bookings at $0 or an artificially reduced rate with the intent to bypass ShopSTR's fees is not permitted.

  • Direct Off-Platform Transactions: Encouraging or instructing guests to complete reservations, payments, or other transactions outside of the ShopSTR platform.

  • Misrepresentation: Providing false or misleading information regarding bookings, pricing, or availability.

Enforcement & Consequences

ShopSTR reserves the right to investigate any suspected violations of this policy. Depending on the severity of the infraction, enforcement actions may include, but are not limited to:

  • Issuing warnings or temporary restrictions on account activity.

  • Permanent suspension or closure of the host's account.

  • Loss of earned revenue if fraudulent or misleading booking practices are discovered.

  • Legal action if necessary to recover lost fees or damages.

All account actions, including flagging and suspension, are taken at the sole discretion of ShopSTR. We may review historical booking activity, communication records, and other relevant data when determining appropriate measures.

Reporting & Compliance

Hosts and guests are encouraged to report any suspected violations of this policy. If you believe another user is attempting to circumvent ShopSTR’s booking system, please contact our support team immediately.

Termination

We reserve the right to terminate your use of the App at our sole discretion if you violate these Terms, engage in fraudulent or illegal activities, or for any other reason.

Privacy

Your use of the App is also governed by our Privacy Policy, available at ShopSTR Privacy Policy. By using the App, you agree that ShopSTR may collect and use guest information, including contact details, for marketing purposes and to conduct booking-related surveys. You acknowledge that guests may be contacted by ShopSTR in accordance with applicable privacy laws and regulations.

Governing Law

These Terms are governed by the laws of the state of New York, USA, and any disputes shall be resolved in the courts of New York.
